Terms and Conditions of the Valoverda Friends E-shop

1. Introductory Provisions

1.1. These terms and conditions (hereinafter referred to as "terms") govern the rights and obligations between the company Valoverda Friends s.r.o., with its registered office at Trojanovice 637, Trojanovice 74401, ID: 14064391, VAT ID: CZ14064391, registered in the commercial register maintained by [insert register], as the manufacturer and seller (hereinafter referred to as "seller") and the customer (hereinafter referred to as "buyer"), in the sale of designer furniture through the e-shop at www.product.valoverda.com.

1.2. The seller is the manufacturer of all the offered goods and provides custom production according to the customer's individual specifications.

1.3. These terms are binding for all orders made through the e-shop.


2. Order and Contract Conclusion

2.1. The order can be placed exclusively through the e-shop or individually based on email or personal consultation.

2.2. The offer of goods on the e-shop is for informational purposes and does not constitute a proposal to conclude a contract.

2.3. The contract between the seller and the buyer is formed at the moment the order is confirmed by the seller (electronically or in writing). By confirming the order, the customer commits to accepting and paying for the goods.

2.4. Custom production begins only after a deposit of at least 50% of the order price has been paid, unless otherwise agreed.


3. Price and Payment Terms

3.1. The prices listed on the e-shop are final and include VAT. The price of the order is always confirmed individually.

3.2. Payment can be made by bank transfer or by another method as agreed with the seller.

3.3. The remaining part of the price is payable before the shipment of goods, unless otherwise agreed.


4. Delivery Terms

4.1. The delivery time depends on the nature of the order, usually 14 – 30 days from receipt of the deposit.

4.2. The seller informs the buyer of the estimated delivery date when confirming the order.

4.3. The goods are delivered to the address provided by the buyer. Shipping costs are covered by the buyer unless otherwise agreed.


5. Nature of Goods and Custom Manufacturing

5.1. Due to the nature of custom-made production, it is not possible to return the goods within the 14-day period according to § 1829 of the Civil Code.

5.2. Each piece is an original. Deviations in color, wood grain, or handmade processing are not grounds for a complaint. Color changes and wood cracks are part of the natural cycle of wood and its aging process.


6. Liability for Defects and Complaints

6.1. The seller is responsible for defects that the goods have at the time of receipt or that occur during the warranty period (24 months, unless stated otherwise).

6.2. The complaint must be submitted in writing to the email info@valoverda.cz, with a description of the defect and any photographic documentation.

6.3. The complaint will be processed no later than 30 days from its receipt.


7. Privacy Protection

7.1. The seller processes the personal data of buyers in accordance with applicable legislation and the privacy policy, which is available on the website.


8. Final Provisions

8.1. These terms and conditions are valid from [date] and may be unilaterally changed by the seller. The new wording will be published on the website.

8.2. Legal relations are governed by Czech law. In case of a dispute, the court with local jurisdiction is determined by the seller's registered office.

 

2. Complaint Procedure

1. Introduction

1.1. This complaint procedure applies to goods purchased through the e-shop of Valoverda Friends s.r.o., which are custom-made according to the customer's individual specifications.

1.2. The buyer is obliged to familiarize themselves with this complaints procedure before submitting the order. By submitting the order, you agree to these terms.


2. Warranty

2.1. The products are covered by a statutory warranty period of 24 months, unless otherwise specified for a particular product.

2.2. The warranty does not cover:

  • Natural properties of materials (e.g. knots, wood grain, color variations)

  • Wear and tear from normal use

  • Mechanical damage caused by improper use


3. Procedure for Filing a Complaint

3.1. The buyer is obliged to make a complaint without undue delay after discovering the defect, but no later than the end of the warranty period.

3.2. The complaint must be submitted in writing to the email: info@valoverda.cz and include:

  • Description of the defect

  • Photodocumentation

  • Order or invoice number

3.3. The seller will assess the complaint and notify the buyer no later than 30 days from the receipt of the complete complaint.


4. Claim processing

4.1. If the complaint is justified, the buyer is entitled to a repair, replacement, or a reasonable discount. The method of resolution is determined by the seller according to the nature of the defect.

4.2. In the case of an unjustified complaint, the goods will be returned to the buyer without compensation.

2. What data we process and why

  • Identification and contact details – for the purpose of processing orders and communication

  • Voluntary data – e.g. within satisfaction surveys


3. Legal basis for processing

  • Conclusion and fulfillment of the contract

  • Fulfilling legal obligations (e.g. tax laws)

  • Legitimate interest of the controller (e.g. fraud protection, analytics)

  • Consent – for marketing or cookies (can be withdrawn at any time)


4. To whom we pass the data

  • Carriers (name, address, phone for delivery)

  • Providers of IT and accounting services

  • We never share data with third parties for their marketing


5. Retention period

  • Accounting documents: 10 years

  • Other data: according to purpose, no longer than 5 years from the last contact or until consent is withdrawn

  • Restriction of processing

  • Data Portability

  • Filing a complaint with the Office for Personal Data Protection (www.uoou.cz)


 

4. Instructions on Withdrawal from the Contract

1. Right of Withdrawal

In accordance with § 1837 letter. d) of the Civil Code the buyer does not have the right to withdraw from the contract without giving a reason within a 14-day period if the goods were manufactured according to the consumer's requirements or customized to their personal needs – which is typical for custom-made furniture.


2. Exceptions

If goods are exceptionally sold from stock (standardized, non-customized products), the buyer has the right to withdraw from the contract within 14 days of receiving the goods.

The buyer will always be explicitly informed about this right before placing the order.


3. Withdrawal procedure

If the buyer has the right to withdraw (e.g. for stock items):

  • They must send a notice of withdrawal by email to info@valoverda.cz

  • Subsequently, return the goods no later than 14 days

  • The money will be refunded within 14 days of withdrawal, but not before the goods are returned
